These Terms of Use (together with any Order, collectively the "Agreement") are entered into by and between Plurity GmbH, Metzer Straße 7, 10405 Berlin, Germany, and its Affiliates ("Plurity", "we", "us") and the organisation you represent or the customer identified in an Order and its Affiliates ("Customer"). By accessing or using the Service, you agree to these terms. Plurity may update these terms, and such updates will be effective upon posting. Customer's use of the Service after such posting constitutes acceptance.
"Affiliate" means any entity that a Party controls, that controls a Party, or is under common control with a Party (where "control" means owning more than 50% of voting interests). "Authorised User" means anyone authorised by Customer to access and use the Services. "Customer Content" means all media files, inputs, and Customer-specific outputs generated through the Services. "Order" means an order form identifying the Services and fees, whether a signed document or the Plurity webpage used to purchase a subscription. "Services" means Plurity's AI-powered content platform, including trend intelligence, content generation, compliance checking, workflow management, and analytics, as described in an Order.
Access to the Plurity platform requires registration and is subject to acceptance by Plurity. We reserve the right to decline registrations at our sole discretion. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
You agree to use the Service only for lawful purposes and in accordance with these terms. You shall not:
The Plurity platform, including its design, code, algorithms, models, and brand assets, is the intellectual property of Plurity GmbH. As between the Parties, Customer retains all rights in Customer Content. Plurity retains the right to use anonymised, aggregated data to improve the Services, develop new features, and generate benchmarks, provided such data does not identify Customer or any individual.
While Plurity provides compliance-checking tools, you remain solely responsible for reviewing and approving all content before publication. Plurity does not guarantee that generated content meets all applicable regulatory requirements in your jurisdiction. The Service is designed to assist, not replace, human review and professional legal or regulatory advice.
Access to the Plurity platform is provided on a subscription basis. Pricing, billing cycles, and payment terms are set out in your individual service agreement. All fees are exclusive of applicable taxes unless stated otherwise.
We aim to provide high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Support is provided during business hours (CET) via email.
To the maximum extent permitted by law, Plurity's total liability for any claims arising out of or related to the Service shall not exceed the fees paid by you in the twelve (12) months preceding the claim. Plurity shall not be liable for indirect, consequential, or incidental damages, including loss of revenue, data, or business opportunities.
Either party may terminate the Service agreement with 30 days' written notice. Plurity may suspend or terminate access immediately if you breach these terms. Upon termination, your right to use the Service ceases, and we will make your data available for export for 30 days.
Our handling of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, a separate Data Processing Agreement (DPA) applies.
These terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is Berlin, Germany, to the extent permitted by law.
We may update these terms from time to time. Material changes will be communicated via email or through the platform at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.
